Michael A. Szymanski, ASA, CPA/ABV is the founder of FV & FMV Valuation, Inc. and has 34 years of experience in the valuation of complex securities and derivatives, business enterprises, equity and debt interests, and intangible assets including core deposits, customer relationships, tradenames, developed technology, etc. His experience includes valuations for: international tax restructuring, mergers and acquisitions/pricing analysis, 280(g) executive compensation excise tax, stock-based compensation (ASC 718), IRS 83(b) elections, IRS 409(a) compliance, allocation of certain provisions in debt and equity instruments, allocation of purchase price for financial reporting and tax purposes, international purchase price allocation under ASC 805 and IFRS 3, shareholder buy-out, intellectual property transactions, corporate planning, fairness and solvency opinions, restructuring and bankruptcy negotiations, litigation, and tax planning and compliance (corporate and estate & gift tax purposes). He has expertise with valuation of equity and debt interests in complex capital structures and multiple investments with-in funds or bank credit portfolios.

Mr. Szymanski’s industry experience includes financial institutions, vaccine manufacturer (including small pox and anthrax), coffee farms, integrated coffee operations, automotive, biotech/life sciences, building materials & supply, chemicals, consumer brands, engineering services and consulting, digital media and online advertising, food processing and services, gaming, healthcare, industrial manufacturing, medical device manufacturers, metals, natural resources, retail pharmacies, plastics & packaging, private equity, pharmaceutical development and distribution, retail merchandising, transportation, service businesses and sovereign wealth fund investments, etc. His restructuring and bankruptcy experience includes assignments on behalf of the creditor committees in the bankruptcies of Enron and U.S. Gypsum, respectively.  Mr. Szymanski has recently led and successfully completed a valuation and purchase price allocation for a $6.6 billion acquisition with seven reporting units, 50+ countries, and 181 locations worldwide.

Mr. Szymanski was previously a Managing Director at a Chicago-based valuation firm before founding FV & FMV Valuation in 2012. He spent nine years in the Transaction Advisory Group of Ernst & Young, performing business valuations as well as SAS 73/101 valuation reviews as a specialist to the audit teams. He was part of the founding of the business valuation group at First Chicago/American National Bank (n/k/a J.P. Morgan). Mr. Szymanski started his career as an equity research analyst over alternative investments at Continental Illinois (n/k/a Bank of America).

Mr. Szymanski earned a Bachelor of Science in Finance degree from Northern Illinois University. Mr. Szymanski is a member of the Board of Executive Advisors to the College of Business at Northern Illinois University. He has also served as President of the Department of Finance Board of Advisors from 2010 until 2018. Mr. Szymanski is a sponsor and mentor for the Northern Illinois University Women Leadership group.   He is a Senior Member of the American Society of Appraisers – Business Valuation and a member of the AICPA and Illinois CPA Society. He served as a Francis Xavier Warde Board of Trustee and member of the Finance Committee. He is an avid bike ride, with participation in the MS 150 bike ride, Golden Spokes fundraiser designation, and a team sponsorship, and a supporter and member of the USA Swimming foundation Champions Club.  He is also a Master Diver certified scuba diver (Open Water, AOW, and Rescue Diver) with over 160 ocean dives.

Daniel A. Noncek, CPA is a senior manager for FV & FMV in the firm’s Chicago office. Mr. Noncek has over nine years of experience in valuations related to purchase price allocations, goodwill impairment testing, stock-based compensation (ASC 718), IRS 83(b) elections, corporate governance, and tax planning and compliance purposes (gift, estate, discount analysis, international tax planning), and valuation of various intangible assets (e.g. customer relationships, trade names, non-competition agreements, technology, supply agreements), and purchase price components (e.g. contingent consideration, rollover equity, incentive units). Over the course of his career, he has experience in a variety of industries including digital media/advertising, automotive, plastics & packaging, private equity, digital consumer retail/commerce, consulting services, health and wellness products, pharmaceutical development and distribution, custom machining, building products, office furniture, video game developers, and online recruitment. Mr. Noncek has worked with clientele ranging from small privately-held businesses in the U.S. to Fortune 1000 companies with worldwide operations.

Mr. Noncek earned a Bachelor of Science in Finance with a minor in Economic from Northern Illinois University and a Master of Science in Accounting from DeVry University. Mr. Noncek completed the Certified Public Accountant examinations in 2019 to become a licensed CPA. He was a recipient of the Western Golf Association’s Chick Evans Scholarship. Mr. Noncek is a member of the Evans Scholars Foundation Leadership Council including sponsorship of the Council’s main fundraiser, Birdie Ball, and member of Northern Illinois University’s Executive Club. Prior to joining FV & FMV, Mr. Noncek was an analyst with GE Capital. Mr. Noncek started his career in the leadership training program at First American Bank.
